These terms do not remove rights or remedies that cannot lawfully be excluded, including rights that may apply under New Zealand consumer law.
1. Agreement and authority
By creating an account, purchasing a plan or using Iris, you agree to these terms and the Privacy Policy. If you use Iris for an organisation, you confirm that you are authorised to accept these terms for that organisation.
You must be legally able to enter into this agreement. If you do not agree to these terms, do not create an account or use the service.
2. The service
Iris provides browser-based tools for digital signage, media, playlists, schedules, menus, alerts, LED layouts, player commands, transport displays, onboard passenger information, advertising and audio. The exact features available depend on your plan, account permissions, location and connected providers.
You are responsible for choosing, configuring and operating the features appropriate for your use, including the content displayed to the public.
3. Accounts and security
You must provide accurate account information and keep it current. You are responsible for activity carried out through your account and for controlling access granted to account users.
Keep passwords, screen keys, player pairing codes, API keys and provider credentials confidential. Tell us promptly at hello@irisc4.com if you believe an account or credential has been compromised.
Do not share access in a way that bypasses plan limits or account controls. Administrators are responsible for assigning suitable permissions to their users.
4. Plans, trials and payment
Plan features, prices, billing periods and any trial or introductory period are shown when you subscribe. Prices are displayed in the stated currency and may be subject to applicable taxes.
Paid subscriptions renew for the selected billing period unless cancelled before renewal. You authorise the payment provider to charge the payment method associated with the subscription. If payment fails, access to paid features may be restricted after reasonable attempts to resolve the issue.
You can manage or cancel a subscription using the available billing controls. Cancellation normally takes effect at the end of the paid billing period unless the CMS states otherwise. Except where required by law or expressly stated, fees already paid are not refundable for unused time.
We may change future pricing or plan features. We will provide reasonable notice of a material change that affects an active paid subscription.
5. Your content and responsibilities
You retain ownership of content and data you add to Iris. You give us a limited right to host, process, copy, resize, transmit and display that material only as needed to provide, secure and support the service.
You must have the rights and permissions needed to use and display your content, websites, feeds, logos, audio, personal information and other material. You are responsible for its accuracy, legality, accessibility and suitability for the audience and location where it appears.
Public-facing alerts, departure information, directions and safety-related messages should be reviewed and operated with appropriate human oversight. Iris is a communication tool and is not an emergency-services system.
6. Transport data and third-party services
Iris can connect to transport feeds, maps, payment services, text-to-speech services, websites and other third-party systems. Those services may have separate accounts, terms, limits, licences and privacy practices.
Realtime arrivals, alerts, routes, maps and location predictions depend on source data, networks and devices outside our control. They may be delayed, incomplete or unavailable. You should not represent predicted information as guaranteed physical arrival and should provide an appropriate fallback for important passenger information.
You are responsible for obtaining and maintaining any provider account, key, licence or permission required for a connection and for complying with attribution and use requirements attached to the data.
7. Acceptable use
You must not use Iris to:
- break the law or infringe another person’s rights;
- display unlawful, deceptive, harmful or malicious material;
- probe, disrupt, overload or bypass security or access controls;
- introduce malware or use the service to attack another system;
- access another customer’s account, data or players without authority;
- resell or reproduce the service except under a written agreement; or
- use automated requests at a volume that interferes with normal operation.
We may investigate suspected misuse and take proportionate steps to protect customers, players and the service.
8. Availability, support and changes
We aim to provide a reliable service, but uninterrupted or error-free operation is not guaranteed. Availability can be affected by maintenance, hosting, networks, browsers, hardware, power, third-party providers and events outside reasonable control.
We may update the service to improve security, reliability or functionality. We will try to give reasonable notice where a change materially removes a paid feature, but urgent security or operational work may occur without advance notice.
Support is provided through the channels and response arrangements available for your account. Unless separately agreed in writing, no specific uptime or response-time service level applies.
9. Iris intellectual property
Iris and its licensors own the service, software, interface, documentation, branding and other material supplied by us. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is authorised and in good standing.
You may give feedback and suggestions. If you do, we may use them without restriction or payment, but we will not identify you publicly without permission.
10. Responsibility and liability
Nothing in these terms limits liability or rights that cannot lawfully be limited. Where permitted by law, neither party is liable to the other for indirect, incidental or consequential loss, loss of profit, revenue, opportunity, goodwill or anticipated savings arising from use of the service.
Where permitted by law, Iris’s total aggregate liability arising from the service is limited to the fees paid for the affected service during the 12 months before the event giving rise to the claim. This limit does not apply to fraud, wilful misconduct or another liability that cannot lawfully be limited.
You remain responsible for your content, configurations, deployed equipment, network access, connected providers and decisions made using third-party or predicted data.
11. Suspension and ending use
You may stop using Iris or cancel a subscription through the available account controls. You may request account deletion, subject to any records we must retain for legal, billing, security or backup purposes.
We may suspend access where reasonably necessary to address non-payment, a security risk, unlawful use, material breach or harm to the service or another person. Where practical, we will explain the issue and provide an opportunity to remedy it.
We may end the service or these terms with reasonable notice. On termination, your right to use the service ends. Provisions that are intended to continue—such as ownership, accrued payment obligations and liability limits—remain effective.
12. General terms
These terms and the Privacy Policy form the agreement for the standard Iris service unless a separate written agreement says otherwise. If part of these terms is unenforceable, the remaining parts continue.
You may not transfer this agreement without our written consent. We may transfer it as part of a genuine restructuring, sale or transfer of the service, with appropriate notice and protections.
New Zealand law governs these terms, and the courts of New Zealand have non-exclusive jurisdiction. Before starting formal proceedings, each party should try in good faith to resolve the issue directly.
We may update these terms. The effective date at the top shows the latest version. We will provide reasonable notice of a material change affecting an active paid service. Continuing to use Iris after the updated terms take effect means you accept them.
Questions about these terms can be sent to hello@irisc4.com.
